DISCLOSURE POLICY

Basic Policy (Disclosure Standard)

Sanyo Chemical Industries, Ltd. (hereinafter referred to as the “Company”) will disclose information relating to the Company in accordance with the Corporate Law, Financial Products Exchange Law and other relevant laws and regulations as well as the Timely Disclosure Regulations enacted by the Tokyo Stock Exchange (hereinafter referred to as the “Regulations”).
As for information that is not governed by the Regulations, the Company will disclose such information in a timely and fair manner to investors and shareholders for the better understand of the status of the Company, no matter whether such information is positive or negative.
In addition to the above, the Company will positively promote information disclosure by holding briefings on financial results or by publications.

Disclosure Methods

The Company will disclose important information that is governed by the Regulations, including corporate decisions, occurrences affecting the Company and financial results, in accordance with the Regulations, through the Timely Information Disclosure System (TDnet) provided by the Tokyo Stock Exchange. The Company will post such important information so disclosed on TDnet on our web site and will make press release as well.
The Company will also post other information that is not governed by the Regulations on our web site in order to provide such information to investors and shareholders in a timely and fair manner.

Silence Period

In order to prevent any information relating to financial results of the Company from leakage and to ensure fairness, the Company designates the periods from the day after the close of each fiscal quarter to the day of the announcement of financial results of the relevant period as the Silence Periods. During the Silence Periods, the Company will not make any announcement to inquiries or comments relating to the financial results of the relevant period. However, the Company will disclose information, even during the Silence Periods, as the amendment to the already announced forecast of financial results in accordance with the Disclosure Methods set forth above, in the event that any difference that is governed by the Regulations becomes evident.

Future Prospects

In addition to profit estimates to be submitted to Tokyo Stock Exchange, the Company may disclose information relating to the future prospects for the performance of the Company. In these future prospects, any information other than historical facts must be regarded as just prospects or plans prepared by the Company under certain conditions. Please note that actual performance may significantly differ from these future prospects. As for other information that is not governed by the Regulations, the Company pays the highest attention to the contents and the accuracy of such information, however, please also note that the Company does not guarantee or assume any liability regarding the contents and the accuracy of such information.

Internal Dissemination

The Company will disseminate this Disclosure Policy within the Company and its group companies. All inquiries from investors and shareholders will be taken care of our IR department.
